Statut Societas Heraldica Slovenica
 
 ARTICLE I
 
SECTION 1: The name of this organization is the "Societas Heraldica Slovenica", hereinafter referred to as the "Society" or the "SHS".
 
SECTION 2: The operations of the Society will mainly be on the Internet and may be conducted from any country, along with defined operations and periodic meetings in Slovenia coordinated with the Board.
 
 ARTICLE II
 
SECTION 1: The aims and objectives of the Society is to encourage, educate and promote the practice of the art, science and history of heraldry, in particular Slovenian heraldry, both indigenous and international, by arranging lectures, discussions, visits, publications and exhibitions; by collecting items, publications and other relevant content for the presentation on the Society's website; by seeking to co-operate with other Societies and organizations devoted to the same or similar purposes and by such other means as the Executive Board or Board may from time to time determine.
 
SECTION 2: To further its mission, the Society is prepared to offer heraldic consultation and services in the form of design and rendering of armorial bearings to satisfy submitted arms requests via its online design application forms or through direct interface with the Society concluding with a presentation of the Society's "Letters Patent". The Society has no official authority to grant nor register armorial bearings (arms), however, will include Slovenian arms in its roll of arms in its respective roll (personal, ecclesiastical, institutional, municipal) as a form of acknowledgement and recognition of armorial bearings of Slovenians.
 
 ARTICLE III
 
SECTION 1: The Society's membership shall consist of Ordinary Members, Institutional Members and Honorary Members. The definition of each category of membership follow:
  1. Navaden članski: is open to all individuals, in particular, Slovenians and Slovenians abroad, interested in matters falling within the aims and objectives of the Society.
     
  2. Institucionalen članski: is open to schools, institutions or corporations wishing to initiate or foster an interest in the Society matters among their students or staff.
     
  3. Honorary Member: is appointed to an individual recommended and approved by the Executive Board. An Honorary Member is not subject to membership fees.
     
SECTION 2: The Executive Board, as part of the application process, may conduct an informal evaluation of a membership applicant. As a result of this evaluation, at the sole discretion of the Board, may accept or deny the membership applicant.
 
SECTION 3: If during the Member's relationship with the Society, the Executive Board learns of a Member's significant infraction(s) with respect to the laws of their country of residence, the Executive Board at their discretion, can terminate the individual's membership with the Society.
 
SECTION 4: All Ordinary Members and Institutional Members are encouraged to submit such membership subscription as is from time to time defined by the Executive Board, in order to continue to enjoy the benefits of membership, including their entry in the roll of arms if applicable.
 
SECTION 5: All Individuals and Institutions who have been serviced by the Society in terms of heraldic consultation (design, rendering and registration of armorial bearings by the Society), are encouraged continue their relationship with the Society as Members in order to support the mission and aims of the Society.
 
SECTION 6: Code of Conduct: Members shall reasonably confine themselves to matters covered by the aims and purposes of the Society. Members will refrain from introducing political matters into the Society affairs. Members will not engage in personal attacks on any external individual, or Ordinary Member in the Society's Forum or in any public forums or act so as to bring harm to the Society.
 
SECTION 7: Without prejudice, it is the right of the Exeuctive Board to terminate any membership at any time of any Ordinary Members and Institutional Members for one of the following: a) whose subscription is unfulfilled by the last day of November of the membership renewal year; b) breach of the Code of Conduct (SECTION 6), shall, unless the Executive Board decide otherwise, then cease to be a Member, and therefore, cease to enjoy the benefits of membership, including their entry in the roll of arms if applicable.
 
SECTION 8: Pokrovitelj. A Patron may be an individual, or an organization such as a company, a partnership firm, a society, a corporate body, a government department, a university, a national laboratory or any other institution.

An organization may become a Patron of the SHS with a minimum financial donation of € 151 or $200 USD annually.

A Patron can be an individual invited by the Executive Board to the position of Patron, and is himself/herself considered to be an honory member of the SHS and is invited to offer input into the proceedings of the Executive Board. The SHS would happily accept financial donations by this individual Patron.

A Patron, will enjoy all membership benefits defined by the SHS, and will further benefit with name recognition in the Society's annual report, and special invitations to Society's events.
 

SECTION 9: Sodelavci. So izbrani člani Societas Heraldica Slovenica (SHS), ki so se izkazali s svojim delom in bistveno prispevali pri doseganju ciljev društva, dokazali so svoje visoko heraldično znanje in prispevali na podrocju heraldične vzgoje, viteskih in sorodnih veščin. Za člane, ki pridobijo naslov sodelavca, je predvidena znacka z apisom » Znak za zasluge pri sirjenju heraldike «. Palica se pogosto uporablja za oznacevanje heralda. Vkljucitev v znacko ponazarja sodelavcevo heraldično znanje in izkusnje.

SECTION 10: Častni sodelavec. So tisti posamezniki in člani SHS, ki so bistveno pripomogli pri sirjenju in uveljavljanju heraldike, pri utrjevanju ugleda in pravilnega razumevanja, pomena in uvrscanja heraldike v Sloveniji in med Slovenci ali tisti, ki so s svojim delovanjem prispevali k prestizu in ugledu društva SHS. SECTION 11: Izvedenec. So člani, ki so uspesno opravili tri preizkuse znanja in dokazali visoko poznavanje heraldike, vitestva in sorodnih podrocij s posebnim ozirom na podrocje Slovenije. Za izvedence je predvidena znacka z napisom » Heraldični izvedenec «.

 ARTICLE IV
 
SECTION 1: Composition: The Executive Board shall consist of elected positions of President, a Vice President, a Secretary, and Treasurer, and a minimum of 4 to a maximum of 8 appointed Directors. (Members of the Executive Board do not require any nationality or residence qualification.) The Board receives no compensation.
 
SECTION 2: Meetings. The Executive Board shall meet at least twice a year, at an agreed time and place. If a place is not possible due to the geographic distribution of the members of the Executive Board, a virtual meeting shall be conducted in the form of email correspondence scheduled on a specific date, time and duration.
 
SECTION 3: Election of the Executive Board for the positions of President, Vice President, Secretary and Treasurer will occur annually on the anniversary of the previous election, except that an election to fill a vacancy on the Executive Board may be held immediately, the successful candidate to be elected for the remainder of that year. A nomination for election to an Executive Board post shall be made only by a Member in good status of the Society and must be with the prior consent of the nominee. The Executive Board will be elected by a majority vote of the Members of the Society. Voting is obligatory, and any Member who fails to register a vote (for, against, or abstention) shall be suspended from the Society.
 
SECTION 3: Appointment of Directors will occur annually immediately after the Executive Board election by the elected Executive Board members. A nomination for an appointment to a Director post may be submitted to the Executive Board for consideration by any Member in good standing of the Society and must be with the prior consent of the nominee.
 
SECTION 4: Term of office. All Executive Board members shall serve a one (1) year term, and are eligible for re-election or re-appointment.
 
SECTION 5: Quorum. A quorum of at least the President, Vice President and Secretary must be present for business to be transacted at a Board meeting, whether physically at a specified meeting location, or virtually through an email-based meeting.
 
SECTION 6: Notice. Notice of an Executive Board meeting must be given in writing to each Executive Board member a minimum of two weeks in advance by email.
 
SECTION 7: Resignation, Termination and Absences. Resignation from the Executive Board must be in writing and received by the Secretary. An Executive Board member shall be dropped for excess absences from the Executive Board if s/he has two unexcused absences from Executive Board meetings in a year. An Executive Board member may be removed for other reasons by a majority vote of the remaining Members of the Executive Board.
 
SECTION 8: Special Meetings. Special meetings of the Executive Board shall be called upon the request of the President or any two members of the Executive Board.
 
 ARTICLE V
 
SECTION 1: Roles and Responsibilities (elected positions).

Predsednik will perform the following duties:

  1. Exercise the general supervision of the Society.
  2. Be responsible for the general operation of the Society.
  3. Represent the Society when interacting with other organizations.
  4. Oversee the activities of the Executive Board and volunteers.
  5. Assign to the Executive Board Members responsibilities for particular areas of activity or tasks.
  6. Re-confirm/validate the involvement of the Patrons with the Assocation annually.
  7. Request an updated/new letter annually from each of the Patrons expanding on/describing their support as Patron, and their comments with respect to the Society for inclusion and display on the SHS website.
  8. Seek additional/replacement Patrons.
  9. Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

Podpredsednik will perform the following duties:

  • Act in the place and stead of the President, in his/her absence, resignation or termination.
  • Execute any and all responsibilities assigned to him/her by the President.
  • Chair meetings of the Executive Board.
  • Assist the President with points 3, 4, 6, 7 and 8.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

Sekretar will perform the following duties:

  • Be responsible for the general administration of the Society.
  • Record, or cause to be recorded, the minutes of all meetings of the Executive Board.
  • Process each new membership application forms generated by the online application form in the following manner:
    1. Clarification, confirmation, validation of the membership applicant,
    2. Notification of the Executive Board of the new member's application request for review, input, accept/decline notification,
    3. If accepted, update the membership records accordingly and coordinate the inclusion of the new Member's arms/entry in the online roll.
    4. Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.
  • Be responsible for the custody of the corporate and membership records of the Society, and stored on standard electronic format (.doc,.mdb,.txt,.csv,.xls).
  • Act as the principle contact with the members on administrative and related matters.
  • Maintain and keep up to date a registry of the membership of the Society.
  • Execute other responsibilities assigned to him/her by the President or other members of the Executive Board with approval by the President or Vice President.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

Blagajnik will perform the following duties:

  • Be responsible and accountable for the general finances of the Society.
  • Submit an annual financial report to the Executive Board at the anniversary of the Society's fiscal year.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

 
SECTION 2: Roles and Responsibilities (appointed positions).

Vodja rodoslovne sekcije will perform the following duties:

  • Field geneaological questions from the membership via direct email, the Society's internal elist or the Society's forums.
  • Act as liason officer with Genealogy Societies affiiliated with the SHS.
  • Offer guidance and consultation to Members of the SHS in the area of genealogy.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

Vodja heraldične sekcije will perform the following duties:

  • Field heraldic questions from the membership via direct email, the Society's internal elist or the Society's forums.
  • Act as liason officer with other Heraldic Societies and Authorities affiiliated with the SHS.
  • Offer guidance and consultation to Members of the SHS in the area of heraldry.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

Vodja oddelka za izobraževanje in preskuševalec will perform the following duties:

  • Field heraldic questions from the membership via direct email, the Society's internal elist or the Society's forums.
  • Administer, develop, evolve and execute the heraldic examination process, procedure, testing material.
  • Offer guidance and consultation to Members of the SHS in the area of heraldry education and training.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

Vodja grb kancler will perform the following duties:

  • Field heraldic questions from the membership via direct email, the Society's internal elist or the Society's forums.
  • Assume the overall responsibilty for all projects involved in heraldry consultation in terms of the design and rendering and delivery of armorial bearings from requests generated by online requests forms or direct requests from clients, and coordinate the activities with respect to allocation of resources to the projects, and the final armorial bearings presentation of the Letters Patent to the client, and the registration of the client's arms in the Society's roll of arms.
  • Offer guidance and consultation to Members of the SHS in any area of heraldry.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

The Vodja registra grbov will perform the following duties:

  • Field heraldic questions from the membership via direct email, the Society's internal elist or the Society's forums.
  • Administer the online roll of arms with additions, corrections, deletions to the roll.
  • Offer guidance and consultation to Members of the SHS in subject of heraldry.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

Urednik publikacij "Grbovje" will perform the following duties:

  • Field heraldic questions from the membership via direct email, the Society's internal elist or the Society's forums.
  • Solicit, obtain and publish online articles from the membership or from general heraldic sources on the Internet such as academic institutions, other societies and heraldic authorities.
  • Act as the role of editor with respect to articles received and published, both online and for the Society's publication "The Armory".
  • To ensure the currency of the Members' booklist.
  • Review and validate existing heraldic online links, submit additional viable links to ensure the R&D value of the links resources.
  • Provide to the SHS, contact information, a digital rendering of their personal arms if applicable, a digital portrait and biography in the form of an Internet link or electronic format for inclusion on the SHS website under the governing body area.

 
SECTION 3: Roles and Responsibilities (Sodelavci).

Referent za stike in prevajanje will perform the following duties:

  1. Translation and interpretation of website content in the following languages:
    • English ==> Slovene, Slovene ==> English
    • English ==> German, German ==> English.
  2. Assist authors writing articles in the translation of their material into their language counterpart.
  3. Offer translation to the Executive Board with respect to email / letter correspondence.
  4. Assist in/or design Society promotionary material in English, Slovene and German.

Skrbnik spletišča< will be accountable for the following duties:

  1. Administration, maintenance, update and development of the Society's website under the direction of the President.
  2. Administration and moderating the Society's internal members only elist and the public forums.
  3. Administration and maintenance the Society's domain name, ensuring accounts are up to date, renewals, etc.
  4. Enhance the web presence by the evaluation, integration of additional technologies as they are called upon to satisfy the Society's requirements.
  5. Field any and all technical questions pertaining to the website, forums and elists.

 ARTICLE VII
 
SECTION 1: A Navaden članski personal armorial bearings being considered for inclusion in the roll of personal arms must first satisfy one of the following four points before Sections 2-3 are applied:
  1. the armorial bearings assumed have been granted permission by the original family or armigerous individual in possession of the armorial bearings, or;
  2. the armorial bearings have been in the possession with the relevant family line for one or more generations and the member's relationship has been validated via genealogical evidence, or;
  3. the armorial bearings have been designed, rendered and registered by the Societas Heraldica Slovenica, or;
  4. the armorial bearings have been formally registered or granted by a recognized heraldic authority or registrar.
     
SECTION 2: A Navaden članski personal armorial bearings will be inserted into the roll of personal arms at some point during their second year of membership with the Society with no additional charge, provided the member is in good standing with the Society.
 
SECTION 3: A new individual considering membership as a Navaden članski who wish to have their personal armorial bearings included in the roll of personal arms effective at the time their new membership submission, and their armorial bearings satisfy ARTICLE VII, SECTION 1 (above), must include an additional roll of arms fee of € 24 with their initial regular membership fee, submitted to the Society with their completed new membership application.
 
SECTION 4: Duration of personal armorial bearings in the roll: Personal armorial bearings will remain included in the roll of personal arms only as long as the member remains in good standing with the Society. Cancellation or termination of their annual membership dues will result in the removal of their armorial bearings from the roll, unless the member invoked SECTION V.
 
SECTION 5: Longevity of personal armorial bearings in the roll: For individuals who wish to have their armorial bearings remain included in the roll of personal arms after terminating or cancelling their membership with the Society, may submit a longevity roll of personal arms fee of € 75 to the Society to ensure their armorial bearings remain included in the roll of personal arms for at least as long as the roll exists.
 
SECTION 6: Personal armorial bearings designed and rendered by the Society will automatically be entered into the roll of personal arms in perpetuity.
 
SECTION 7: Personal armorial bearings will be depicted on the Society's roll of personal arms as a full achievement in colour, accompanied by the blazon, source and date, plus name of artist where supplied.
 
SECTION 8: Arms included for the roll of personal arms are accepted by the Society for display purposes only. Such acceptance does not imply registration nor protection of such arms in Slovenia or elsewhere. While the Society will endeavour to establish the authenticity of the arms displayed, such display cannot be accepted as proof of authenticity or ownership.
 
 ARTICLE VIII
 
SECTION 1: Upon the dissolution of the Society or the winding up of its affairs, the assets of the Society, if any, shall be distributed exclusively to one or more charitable, educational or scientific organisations identified by the Executive Board. Any such assets (electronic files pertaining to the SHS website, or other electronic material) not so disposed of shall be assumed by the last President for the purpose of archive.
 
 ARTICLE IX
 
SECTION 1: These Articles may be revised by majority decision of the Executive Board, such revision coming into effect following notice of at least two weeks to the Society's membership.
